Panchatv Bharat Limited was incorporated on March 06, 2024 as “Panchatv Bharat Private Limited” and later converted into a public limited company, with its name changed to “Panchatv Bharat Limited” pursuant to a fresh certificate of incorporation dated August 05, 2024. The company is promoted by Sanjay Gupta and Sooraj Gupta.
Before incorporation, the promoters conducted denim fabric trading operations through proprietorships: Sanjay Gupta via “M/s S R Fabrics” (established in 1994), and Sooraj Gupta via “M/s Neelmadhav Textiles” and “SG Trader.” After the company was formed, it took over the running businesses of these proprietorship concerns under a Business Purchase Agreement dated April 06, 2024, acquiring their assets and liabilities. As consideration for the transfer, the company issued 2,03,500 equity shares (face value Rs 10 each) to Sanjay Gupta and Sooraj Gupta, against a total consideration of Rs 4.07 crore.
Panchatv Bharat Limited operates in denim fabrics, with manufacturing carried out through a third-party manufacturing facility. In addition, it is engaged in wholesale distribution of denim fabrics across India, sourcing products from distributors.
The company is planning an IPO comprising up to 16,75,200 equity shares as a fresh issue.
