GSPL Transmission Limited was incorporated as a public limited company on July 23, 2024, under the Companies Act, 2013. It was established through a Scheme of Arrangement for Demerger implemented in FY24, under which the gas transmission business undertaking of Gujarat State Petronet Limited was transferred to the Company on a going-concern basis. Before the Scheme became effective, GSPL Transmission was a wholly owned subsidiary of GSPC Energy Limited.
The Company lays, builds, owns, operates and expands natural gas pipeline infrastructure in India on an open-access and non-discriminatory basis. It operates India’s second-largest natural gas transmission network, which currently serves Gujarat exclusively. The network is connected to major natural gas supply sources, including gas producers, marketers and LNG terminals or their offtakers, as well as major industrial users and demand centers across the state.
Its bulk customers include power, fertilizer, refinery, steel and chemical companies that use natural gas as fuel or feedstock. Local distribution companies supply gas to retail consumers. Transactions between suppliers and users are governed by gas sales agreements covering volumes, prices and other commercial terms, making the Company’s performance linked to gas demand, network utilization and activity across Gujarat’s industrial and city-gas markets.
Pursuant to the demerger, the Company allotted 3,127,43,617 equity shares of Rs. 10 each to eligible shareholders of Gujarat Energy Limited on July 8, 2026. Shareholders received one equity share of the Company for every three equity shares held in Gujarat Gas Limited as of July 2, 2026.
